What is changing?
The problem
Structure changes are where DIY filings go wrong.
A director appointment or share transfer looks like a simple form - but each one touches the registers, the PSC position and sometimes the articles. Done casually, the public record and the legal reality drift apart.
- -Share transfers filed with no stock transfer form or board approval behind them
- -PSC changes missed, leaving the register wrong - an offence, not a formality
- -Appointments made without checking that the articles allow them
- -Statutory registers never updated, so the company's own records contradict the public ones
- -Old errors compounding with each new change
What's included
Changes executed end-to-end, not just filed.
We handle the whole change - the paperwork behind it, the Companies House filing, and the registers - so the legal position and the public record match.
Director appointments and resignations - checked against the articles, filed, and recorded in the registers
Share transfers done properly - stock transfer forms, board approvals and the register of members updated
PSC register maintained - significant-control changes identified and notified on time
Share allotments - new shares issued with the right resolutions and filings
Company detail changes - name, registered office, accounting reference date and more
Board paperwork prepared - minutes and resolutions drafted for signature, wherever you are
One change, done once, done right - paperwork, filing and registers together.
How it works
Three steps, entirely remote.
1
Tell us what's changing
Who is joining, leaving, or transferring shares - we confirm exactly what the change requires.
2
We prepare the paperwork
Resolutions, minutes, forms and register entries drafted and sent to you for e-signature.
3
Filed and recorded
Companies House is updated, the registers are written up, and copies are delivered to your document pack.
Why not just use my accountant?
Accountants file accounts and tax. Company secretarial work is a different discipline: the statutory registers, the PSC position and the Companies House record. A share transfer isn't an accounting entry - it's a stock transfer form, board approval, register updates and sometimes a PSC notification. That is the work we own.

Questions
Structure change questions
Can I appoint or remove a director from outside the UK?
Yes. The whole process is remote. New directors must complete Companies House identity verification, which we manage as part of the appointment.
What does a share transfer actually involve?
More than the public filing: a stock transfer form, board approval, an updated register of members, and the change reflected at the next confirmation statement. We prepare all of it.
Do changes affect the PSC register?
Often, yes. Transfers and allotments frequently change who has significant control. We assess every change and file the required notifications.
My statutory registers were never set up. Can you fix that?
Yes. We reconstruct the registers from the company's filing history first, so new changes are recorded on an accurate base.
How quickly can a change be completed?
Paperwork for routine changes is usually prepared within a few working days of your instruction, and filed with Companies House once signed.
Do new directors need a UK address?
New officers need a service address, which can be ours - residential addresses abroad can stay off the public record.
